Prior to entering law school, Dr. Michael Guth worked as an investment banker in Europe for
Deutsche Bank and Credit Suisse First Boston from late 1989 - 1992. When he returned
to the United States in 1992, several New York investment banks were interested in having him join their research departments, but he
preferred to have more direct contact with the market through an arbitrage trading group or client contact with
corporate finance transactions. Instead, of accepting a research department position in New York, he returned to his home town of Oak Ridge, TN, where he broadened
his risk management skills to include environmental contamination risks.
He always remained interested in mergers and acquisitions (M&A), particularly forward-looking strategies.
However, investment banks normally hire MBAs to work on M&A transactions, not Ph.D. economists. On the legal side of M&A transactions, lawyers are involved in drafting
the merger, acquisition, and divestiture agreements. Thus, in the fall of 1994, Michael Guth decided to
combine his background in financial economics with a law degree, and pursue a career in corporate mergers and restructurings.
Large corporate law firms might perceive an advantage in hiring a corporate associate who knew something about capital markets, floating a bond issue, asset valuation,
and related corporate finance concepts. Here are the results of his law school studies as well as his educational background:

Order of the Coif; rank 2nd out of class of 139; Hunton and Williams prize
for the best brief written by a first-year law student at UT in 1995; individually tailored courses on securities

During his second year in law school, Michael Guth noticed an
unusually high number of convergence mergers between electric utilities and gas companies, as well as mergers among electric utilities.
This merger activity led him to pursue work directly in the power industry, where he might have the opportunity to see the planning
for a merger first-hand. During his second year of law school, he began working for the Tennessee Valley Authority (TVA)
to work on their power business trading floor as a quantitative finance consultant. He worked for TVA part-time during his second year in law school, and then he was fortunate to receive
an offer to join the agency full-time upon completion of his law school studies. Thus began his career in the power and gas industry over the period 1997 - 2002, which would culminate in his
consulting or working for Pacific Gas & Electric's unregulated National Energy Group, Oklahoma Gas and Electric's unregulated power trading group,
Petroleum Institute of Research Associates (PIRA), General Electric Power Systems, and Progress Energy. From 2002 to the present,
he has focused on university teaching and drafting legal documents for clients.
